This Agreement (together with the LKQ Academy general Terms and Conditions, Payment Terms and Conditions, Terms of Website Use, Privacy Notice and Cookie Policy) (the “Terms”) shall be the basis of which we provide the Services to You. ABOUT US The Services are provided by LKQ Group (UK) Limited trading as LKQ Academy (“We/Us/Our”) We have our registered office address at T2, Birch Coppice Business Park, Danny Morson Way, Dordon, Tamworth, B78 1SE under company number 02680212. ABOUT YOU Please read the Terms carefully and make sure that you understand them, before subscribing for the supply of services from our site. By placing an order for the Services with Us, for one of the Free Taster Courses, you warrant that You are an LKQ ECP account holders; You have not previously attended any training courses with LKQ Academy; You are a business customer for trade and/or resale; The information that you provide to us during the process of placing an order for Services is accurate, complete and is not misleading or fraudulent; and You are fully aware of and understand our Terms. If you do not accept the Terms, you will not be able to subscribe for any Services. You and/or your Authorised Users’ use of the Services constitutes acceptance of these Terms. 1. DEFINITIONS Authorised User(s): if You are a business providing automotive service and repair and technical activities or are otherwise actively involved in the provision of education in automotive technical activities, all directors, members, partners, employees or students in the business, educational establishment or other outlet covered are Authorised Users (up to the maximum number of users as determined by the Fee. In any other case, Authorised Users means any person that We have agreed with You is or are to bene fit from the Services. Content: know-how provided by Us via Our Site to You under this Agreement, being the content of the LMS Platform comprising videos, courses, guided instructions, tutorials, information, hand-out materials and related documents, materials, files and presentation slides Content Provider: the provider of the Content for the Services (including 3rd party providers). Fee: the full retail price for the Services. LMS Platform: the learning management system platform operated by Us to provide the Services. Promotional Period: The period in which the Free Taster Course is discounted. Promotional Price: The discounted price is the Fee less a discount.

Permitted Recipients: the parties to this agreement, the employees of each party and any third parties engaged to perform obligations in connection with this Agreement. Services: the services provided on Our Sites which includes provision of Content including courses via the LMS Platform. 2. HOW THE AGREEMENT IS FORMED BETWEEN YOU AND US 2.1. You confirm that you have authority to bind any business on whose behalf you use Our Site to subscribe for the Services. 2.2. This Agreement and any document expressly referred to in it constitutes the entire agreement between You and Us and supersede and extinguish all previous agreements, promises, assurances, warranties, representations and understandings between Us, whether written or oral, relating to its subject matter. 2.3. You acknowledge that in entering into this Agreement You do not rely on any statement, representation, assurance or warranty (whether made innocently or negligently) that is not set out in this Agreement or any document expressly referred to in it. 2.4. You and Us agree that neither of us shall have any claim for innocent or negligent misrepresentation or negligent misstatement based on any statement in the Agreement. 2.5. Our pages will guide you through the steps You need to take to purchase for the Services. Our purchase process allows You to check and amend any errors before submitting your request to Us. Please take the time to read and check Your request at each stage of the process. 2.6. Our acceptance of Your purchase request will take place when We confirm Our acceptance to You by sending an enrolment email that confirms Our acceptance of Your Membership or purchase of any individual Free Taster Course

3. DISCOUNTED FREE TASTER COURSES AVAILABLE

3.1. All Free Taster Courses are provided in person. Course dates, locations, timings etc can be found on Our LMS Platform.

3.2. Smart Charging & Stop Start – DRTS – 1 Day [263778890] Battery testing and replacement is a massive growth area in any modern workshop with 40% of all breakdowns being battery related. There has been a large reduction in DIY battery replacement due to coding required on most start stop batteries, understanding how batteries work and having the ability to articulate this to the end user will help reduce battery failures for your customer in the future. 3.3. Communication Networks – CAN Bus systems – DRTS – 1 Day [263778840] This course is vital to any diagnostic technician due to the increasing number of ECU’s in a modern vehicle. This course will give you a strong understanding on networking and topology looking at CAN resistance and voltage.

3.4. Emission Control Systems – DRTS – [263770410][2024] Workshops are seeing more and more diagnostic issues around Add Blue, NOx and blocked DPFs which is reducing productivity and 1st time fixes. This course is designed to give you the skills and knowledge required to work on these systems and repair the faults. 3.5. Advance Braking (RTS)[263779096] – NGH This subject is often neglected when it comes to training, yet these systems have developed dramatically over the years with the increase of ADAS systems, electronic parking brakes and TMPS. This is also an area of workshop that can cause a large number of returns due to poor fitment, which can have an impact on both customer satisfaction and first time fixes. 3.6. Principles of Diagnostics – STRTS – 1 Day [263778300] This diagnostics course is a hands approach to your first exposure to fault finding using a diagnostic tool and gaining the knowledge to understand what the data is truly telling you. Skills in the field of diagnostics can reduce lost hours and incorrect diagnosis. Computing power is a modern vehicle is growing by the day and your ability to guide a diagnostic tool to communicate to the ECU has never been more key.

4. ELIGABILITY

4.1. Your eligibility criteria for participation in the Free Taster Courses:

4.1.1. You must be an existing LKQ Euro Car Parts (“LKQECP”) trading (credit) account holder (“Account Holder”)

4.1.2. Only the Account Holder or an Authorised User of the Account Holder may attend the course. For the avoidance of doubt only one person may attend (the “Attendee”)

4.1.3. The Attendee must not have previously attended courses with LKQECP.

4.1.4. The Attendee may need an appropriate level of knowledge to attend the course. Further details will be given on application to the course. If the Attendee is found to not have sufficient prior knowledge to attend the selected course, they will be declined a place. 4.2. This clause is subject to compliance with all applicable eligibility and due diligence criteria which will be taken place before conformation/approval to go on the course is given. If the criteria is not met then your place will be revoked and you will no longer be entitled to the course selected.

4.3. The eligibility criteria may be reviewed and amended by Us at Our discretion from time to time, with written notice to all affected Account Holders.

4.4. All courses are delivered only in English unless specified otherwise and all Attendees must be sufficiently proficient in the English language prior to attending the course.

5. YOUR OBLIGATIONS

5.1. You will ensure that You are the authorised current Account Holder

5.2. You will ensure that You and Your selected Attendee have the prerequisite knowledge, experience and qualifications to complete any Free Taster C ourses offered to You by Us. 5.3. You will ensure and warrant that only the Authorised Users shall access the Content or Services using accounts created with Your username and password. You will be responsible for the use of any accounts provided to or created by Us granting access to the Services. You must notify Us immediately if there is any unauthorised use of the Services. 5.4. Audio or video recording of the training is not permitted, some courses may provide handouts, further details of which will be provided by the training provider, You are also entitled to make your own notes throughout the training sessions.

5.5. If We find that Your use of the accounts is not in accordance with the Terms, We have the right to deactivate Your account and/or refuse entry onto the selected course.

6. OUR OBLIGATIONS

6.1. Subject to the availability of the Free Taster Courses We will, to the best of our ability, provide the training course selected by the Account Holder.

6.2. We will ensure that the courses will be held in a professional manner and that the chosen training provider has the appropriate skills, experience and knowledge to deliver the course. 6.3. If any additional or special needs or requirements are required for You to be able to attend the course (whether remotely or in person) we require that you provide us with reasonable notice so that we can use our best efforts to facilitate these needs or requests.

6.4. We will use all reasonable endeavours to ensure that all information provided is up to date and current.

7. PRICING AND PAYMENT

7.1. The Promotional Price is only available;

7.1.1. during the Promotional Period; and

7.1.2. to LKQECP account holders who have not previously attended a training course with LKQECP 7.2. Without prejudice to any other rights that We may have, if you fail to attend the Free Taster Course, You acknowledge that We reserve the right to charge a cancellation fee, details of which are contained within the remainder of the Terms.

8. LIMITATION OF LIABILITY

8.1. You acknowledge that Our liability to you or any errors, emissions or incorrect content shall be limited to a maximum sum equivalent to the Fee.

8.2. Subject to the provisions of these Terms, the following provisions set out our entire financial liability (including any liability for the acts or omissions of our employees, agents and sub-contractors) to you in respect of:

8.2.1. any breach of these Terms; and

8.2.2. any representation, statement or tortious act or omission including negligence arising under or in connection with any Contract.

8.3. All warranties, conditions and other terms implied by statute or common law are, to the fullest extent permitted by law, excluded from any Contract.

8.4. Nothing in these terms excludes or limits our liability:

8.4.1. for death or personal injury caused by our negligence;

8.4.2. for fraud or for fraudulent misrepresentation; or

8.4.3. for any matter for which it would be illegal for us to exclude, or attempt to exclude, our liability.

8.5. Subject to clause 8.4 , we will not be liable to you for:

8.5.1. any indirect or consequential, special or punitive loss, damage, costs or expenses (including any losses to third parties, losses relating to vehicle recovery/replacement/hire vehicles, diagnostic times or otherwise);

8.5.2. loss of profit;

8.5.3. loss of business;

8.5.4. loss of income or revenue;

8.5.5. loss or corruption of or damage to data;

8.5.6. waste of management or office time; or

8.5.7. depletion of goodwill.

8.6. Without prejudice to clause 8.4 , our total liability to you under or connected with these terms will not exceed one hundred per cent (100%) of the price paid for the Services in a single Contract for any one event or series of connected events.

9. CANCELLATION AND REFUNDS

9.1. Cancellation made by LKQ Academy:

9.1.1. LKQ Academy reserves the right to cancel, move, and reschedule a course date due to circumstances that are beyond LKQ Academy’s control and reasonably necessary. Reasonable efforts will be made to contact and notify LKQECP Account Holders of any alterations to their selected course.

9.1.2. If available, We will offer alternative dates.

9.1.3. No liability will be accepted for loss of earnings or expenses or any consequential losses should a course be cancelled.

9.2. Cancellation made by LKQECP Account Holder:

9.2.1. Cancellations may be subject to an admin/course registration charge of a minimum of £75.00

9.2.2. Over 14 days, 50% charge of the original course fee.

9.2.3. Less than 14 days, a minimum of 75% charge depending on the course.

9.2.4. To postpone or cancel a course booking, please email info@lkqacademy.co.uk with details of the course you wish to cancel.

10. ASSIGNMENT OR TRANSFER

10.1.

The Account Holder may not assign or transfer this contract unless We expressly agree in writing to the transfer or assignment of the selected course.

11. TERMINATION

11.1. Either party may terminate the Terms with immediate effect by notice in writing if You or We are in material breach of any of its terms where such breach is irremediable or (if such breach is remediable) if the breach is not remedied within the period of twenty working days after written notice of it has been given to the party in breach. If We are in material breach as a result of circumstances within Our control, You will be entitled to pro-rata return of the Fee. If You are in material breach, You are not entitled to a return of any part of the Fee.

11.2. Notwithstanding clause 11.1 if payment of the Fee is not made in full by the due date(s), without prejudice to any rights or remedies otherwise available, We reserve the

right to (a) charge interest on the outstanding balance of all overdue sums in accordance with clause 7.2; and (b) immediately withdraw access to the Services .

12. ENTIRE AGREEMENT

12.1. This Agreement, Fee and any agreed written record identifying Authorised Users constitutes the entire agreement and understanding of the partes and supersede any previous agreement between the parties relating to the subject matter of this Agreement. Each of the parties acknowledges and agrees that in entering into this Agreement it does not rely on, and shall have no remedy in respect of, any settlement, representation, warranty or understanding (whether negligently made or not) of any person (whether party to this Agreement or not) other than as expressly set out in this Agreement. The only remedy available to it for breach of the Agreement shall be for breach of contract under the terms of this Agreement.
